Essar is hiring for the role of Assistant Manager - Compliance!
Responsibilities of the Candidate:
- Manage board, committee, and general meeting schedules through calendar management systems.
- Prepare agendas, record minutes, and support effective board and committee governance.
- Coordinate collection and submission of disclosures, consents, and declarations in line with statutory requirements.
- Draft, circulate, and process board resolutions ensuring compliance with legal and regulatory provisions.
- Handle compliance matters related to foreign companies.
Legal Compliance & Secretarial Functions:
- Ensure compliance under the Companies Act and other applicable regulations.
- Coordinate with ROC, Regional Director, RBI, Authorized Dealers and support e-form filings.
- Maintain statutory registers and secretarial records.
- Manage ROC compliances and filings related to corporate matters.
- Support reporting and compliance under FEMA regulations.
- Handle matters relating to mergers and amalgamations.
Liaison & Stakeholder Coordination:
- Coordinate with internal teams, consultants, investor representatives, and advisers.
- Provide required data and support to auditors and statutory authorities.
Legal Drafting & Vetting:
- Draft and vet legal documents including agreements, contracts, NDAs, and equity-related documentation.
- Support management with compliance and legal recommendations.
Audit & Reporting:
- Coordinate and support internal and statutory audits.
- Prepare MIS and compliance-related reports for management and auditors.
- Assist in filing annual reports and annual returns.
Capital, Shares & Securities:
- Manage compliance related to share capital, ESOP administration, and cap table maintenance.
- Oversee investor round compliance and share-related statutory requirements.
- Ensure timely reporting and disclosures related to share transactions and investor matters.
